Marcy represents clients in a wide range of business transactions, with an emphasis in real estate and finance matters. Her practice also includes advising clients on entity formation, capital structure, and mergers and acquisitions. Prior to attending law school, Marcy worked in the in-house legal department of a commercial real estate development company during which she was involved in acquiring, developing, leasing and managing retail property. Her goal is to blend her legal skills and business background in order to generate creative, cost-effective strategies that enable clients to achieve business objectives while minimizing exposure to legal risks.

REPRESENTATIVE EXPERIENCE

Real Estate and Finance Transactions

  • Represented a Texas conservation and reclamation district in multiple land acquisition transactions in connection with a large water infrastructure project.
  • Represented the purchaser of a Class A multifamily rental portfolio located in Texas and Louisiana.
  • Represented the seller of a residential condominium building in the single-transaction sale of substantially all of the condominium units and common areas in the building.
  • Represented the purchaser/borrower in the acquisition and financing of two bio-diesel facilities in California.
  • Represented a Canadian financial institution in connection with several loans secured by retail property in Texas.
  • Served as real estate counsel for the lead arranger and administrative agent in the senior secured financing of the acquisition of a textile company, which was secured by five manufacturing facilities located in North Carolina, South Carolina and Alabama.
  • Served as real estate counsel for the lead arranger and administrative agent in the senior secured financing of the development of natural gas storage caverns in Texas.
  • Represented a Texas certified capital company (CAPCO) as the lender in multiple secured financing transactions.

Mergers & Acquisitions and Private Equity Transactions

  • Represented a multi-platform media company in connection with its issuance of convertible promissory notes, warrants and other securities.
  • Assisted in representing the issuer in the private placement of yen-denominated JP¥128.98 billion limited recourse bonds to finance its acquisition of an interest in the world’s largest operator of nuclear power plants. The transaction was awarded the 2006 Yen Deal of the Year Award by the International Financial Review.
  • Assisted in representing an electric cooperative in the purchase of a natural gas business based in Atlanta, Georgia and follow-on acquisitions, and the syndicated financing of such acquisitions.
  • Assisted in representing a private equity fund in its acquisition and recapitalization of an electrical and instrumentation (E&I) service provider based in Louisiana.

  • Marcy’s husband, Maj. David Darsey, serves with the Texas National Guard and has completed two deployments in Iraq. Marcy and David have two hilarious children, Drew Claire and Jacob.
