Karen J. Holody
ShareholderKaren's practice includes a wide range of corporate and business law matters, with a special focus on the needs of public and private technology companies and the technology-related needs of non-technology companies. She has substantial experience in negotiating outsourcing transactions and other high-tech alliances both domestically and internationally, with particular emphasis on the semiconductor and software industries. Karen also has represented companies in the building, media/public relations, entertainment and oil and gas industries.
Her current practice includes information technology and business process outsourcing, technology transfers and licensing, major enterprise requirements planning and other applications development agreements, high-tech alliances of all kinds, advising on structuring market channels and product distribution agreements, and consulting, development, service and supply agreements from both the buyer's and seller's perspective. Karen is also experienced in foreign and domestic joint ventures, mergers and acquisitions, divestitures and asset dispositions, and focuses in particular on the business agreement and implementation aspects of these transactions.
Karen is known for her commitment to understanding the nitty-gritty of a client's business, industry and objectives, and how their products and services are brought to market. Her ability to develop close working relationships with her clients allows her to be responsive and in tune with their needs. For nearly seven years, Karen was Senior Counsel to Motorola, Inc., where she served as in-house counsel to various businesses in the company’s semiconductor and government products groups.

Technology Licensing and Product Development/Distribution
- Represented global semiconductor company in multiple inbound technology licenses related to multimedia and gaming technologies
- For Fortune 500 microprocessor client, drafted and negotiated co-marketing deals and conducted legal reviews of marketing materials
- Advised software-as-a-service CRM company in connection with its major customer and partner transactions
- Counsel to a software development tools company, including licensing, consulting, development, support, marketing, partnership, OEM and distribution agreements and related counseling
- Advised a media and public relations company in connection with its more significant master services/customer agreements
- Negotiated agreements for sale of products designed by privately held fabless semiconductor company to leading computer manufacturer and also to leading Asian board manufacturers
- Restructured licensing and support for software used in development of video games
- Provided business counsel to privately held software company in the wireless vertical, including drafting and negotiating sales and license agreements, product distribution, OEM and distribution agreements and related counseling
- Assisted start-up oil field software and services company in establishing initial agreements
- Represented a Fortune 500 semiconductor company in licensing key technologies from software and hardware design firms for use in client’s products
- Represented a privately held fabless semiconductor company in licensing its software to various customers as part of strategy to seed the market for its hardware
- Served as ongoing contracts counsel to an emerging business-to-business supply chain software developer: negotiate licenses and consulting contracts, assisted with migration to web-based licensing, and advised on global distribution strategies
- Provided contracts and licensing advice to emerging software development/program management consulting company which serves Fortune 500 companies, including development of an important strategic alliance with a large research and advisory firm
- Advised leading semiconductor company on changes to incentive program for major distributors and helped draft related agreements and policies and procedures
- Formation of strategic alliance between two Fortune 500 companies for co-development of digital signal processor technology
Outsourcing and Major Applications Development & Maintenance
- Represented Fortune 500 technology company in connection with outsourcing its payroll functions to large U.S.-based service provider
- Represented a Fortune 500 technology company in negotiating a 10-year information technology outsourcing agreement covering most aspects of client's global IT operations, including network, server, and data operations as well as telecommunications, desktop support, and call center services
- Drafted and negotiated engineering and information technology services outsourcing agreements with major offshore service providers resulting in significant cost savings for client
- Prepared and negotiated outsourcing agreement for financial services including Fortune 500 client's internal accounts payable function to major U.S.-based service provider
- On behalf of U.S.-based, leading semiconductor company, drafted and negotiated outsourcing agreement for global employee relocation services, including a purchase program for employee homes and ongoing services to expatriate employees while on assignment
- Negotiated global human resources business process outsourcing agreement on behalf of Fortune 500 technology client for employee benefits call center services, payroll and related data processing
- Developed contract for multiple modules of SAP systems integration and related applications development services on behalf of industry leading semiconductor company
- Revised contract and capped costs of IT consulting services vendor in connection with major ERP installation for leading energy services company
- Negotiated software licensing, applications development and maintenance agreements for a new claims system budgeted at over $15 million for a major insurance carrier
Acquisitions, Divestitures, Joint Ventures and other Corporate Matters
- Represented a software development tools company in the divestitures of two of its product lines, including complex licenses for core technologies necessary to divested product lines
- Represented a private investor in an on-line newspaper
- Represented a privately held chemical supplier to the semiconductor industry in formation of a joint venture with a major Japanese conglomerate partner
- Formation of nonprofit trade association for development of interconnect standard for networking; membership included six global technology companies
- Represented leading computer company in formation of strategic relationship with computer services vendor; transaction included minority investment, technology assignment and licensing; revenue sharing and outsourcing, co-branding arrangement and web-site hosting
- Represented a Fortune 100 technology company in a buy-out of its Japanese joint venture partner’s share in a Japanese semiconductor manufacturing company
- In connection with minority investment in start-up provider of web-based services to electronics industry, prepared agreement for delivery of services and ownership of related data
