Real Estate Recent Transactions
- Acquired/developed numerous Central Texas branch sites for a regional bank.
- Represented developer of 42-story residential condominium tower, including establishment of condominium regime under Texas law, compliance with Interstate Land Sales Full Disclosure Act, and negotiation of co-development agreement with adjoining landowner, development agreement with the City of Austin, architect agreement and construction contract.
- Negotiated a long-term lease for major publicly traded computer company as tenant for a to-be-built office building in Riata Crossings, including a non-disturbance and attornment agreement.
- Served as Central Texas counsel for major national homebuilders in numerous residential acquisition and development projects, including financing and community restriction planning.
- Served as local Texas counsel for large national real estate group in due diligence, acquisition and financing of Texas apartment complexes.
- Handled purchase, entitlements, tax incentive agreements, community restrictions, and development arrangements for a mixed-use development of over 400 acres in Hutto, Texas.
- Helped create minerals management entities for large family groups owning undivided mineral interests in multiple properties, in order to consolidate lease opportunity and avoid generational fragmentation.
- Represented publicly traded solar equipment manufacturer in negotiating lease and design-build construction contract; economic development agreement from State of Texas under Chapter 380 of the Texas Local Government Code providing business personal property and real property tax rebates by the City of Austin and a grant agreement with the State of Texas for a grant from the Texas Enterprise Fund as inducements for the company to locate its facility in Austin, Texas.
- Negotiated construction contracts for a junior college district for campus improvements in excess of $100,000,000.
- Represented developer of 252-unit residential condominium community, including establishment of condominium regime under Texas law, receipt of advisory opinion from U.S. Department of Housing and Urban Development regarding exemption from registration under Interstate Land Sales Full Disclosure Act, and negotiation of architect agreement and construction contract.
- Handled two-unit and small condominium in-fill projects in established neighborhoods.
- Obtained vested rights determinations under state law to allow continuation of projects in progress despite changes in regulations.
- Provided general representation for permitting, development, construction financing, leasing and sales for development of second phase of a major mixed use project (retail, hotel and office-warehouse flex space).
- Drafted and negotiated ground leases for two downtown Austin hotel sites.
- Represented offshore property group in the acquisition, construction, construction financing, and marketing of a high rise residential condominium, including entitlements and construction for an underground parking garage adjoining Lady Bird Lake.
- Represented non-profit corporation in development and construction of affordable housing community financed with low income housing tax credits, conventional construction financing and grants and forgivable loans from the City of Austin.
- Drafted and negotiated a long term ground lease, with options to purchase, of prime downtown San Antonio property for a developer, including formation of investor limited liability company.
- Negotiated leases, expansions and relocations for several Austin-area restaurants.
- Negotiated with the contractor and architect for a major high-tech company on construction disputes regarding new research/office campus.
- Represented national corporation in acquiring a new Central Texas store site, including negotiation of water supply contract.
- Represented commercial condominium developers in site acquisition and subsequent development and marketing of Central Texas commercial condominium projects, including RiverPlace Village Office Condominiums and the Oaks at RiverPlace Village; Rob Roy Office Park; and Wells Point Industrial Park.
- Assisted shopping center owner in causing its seller to contract to reacquire shopping center based on a previous tenant's dry cleaning activities as a possible cause of a CERCLA Superfund site.
- Represented national developer in obtaining necessary municipal approvals/entitlements for redevelopment of a hotel site on Lady Bird Lake in central Austin.
- Represented property owners in negotiating and obtaining entitlements, including affordable housing components, for property sites and multi-family projects in Austin.
- Represented national developer in annexation and zoning proceedings with the City of Austin and coordinated discussion with Texas Department of Transportation and Capital Regional Mobility Authority on transportation issues.
- Served as primary counsel in negotiating retail leases for a large mattress retailer throughout Texas.
- Assisted client with investment as fifty percent venturer in major Metroplex residential project, including due diligence, environmental, and utility investigations and arrangements.
